These Terms & Conditions ("Terms") govern your access to and use of SOPHIS Ledger (the "Service"), a shared household expense-tracking application operated by Nebota Ismael Owamba ("we", "us", "our"). By creating an account or continuing to use the Service, you agree to be bound by these Terms.
1. Who you are contracting with
The Service is provided by Nebota Ismael Owamba. You can reach us at nebotaismaelowamba@gmail.com. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms. If you are using it as an individual, you confirm you are of legal age to enter into a binding contract in your jurisdiction.
2. The Service
SOPHIS Ledger is a household finance tool that lets couples, families, and housemates track shared expenses, budgets, bills, savings goals, and cashflow forecasts. Free and paid plans are described on our Pricing page. We may add, change, or remove features from time to time.
3. Your account
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it up to date. Notify us promptly if you believe your account has been compromised.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not:
- use the Service for any unlawful purpose or in breach of applicable law;
- submit fraudulent, misleading, or spam content;
- infringe the intellectual-property or privacy rights of others;
- upload malware, probe or scan our systems, scrape data, or otherwise interfere with the security or integrity of the Service;
- attempt to reverse-engineer, resell, or circumvent technical limits of the Service.
5. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by Nebota Ismael Owamba and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have subscribed to. All rights not expressly granted are reserved.
6. Your content
You retain ownership of the financial data and other content you enter into the Service ("Your Content"). You grant us a limited licence to host, store, and process Your Content solely to provide and improve the Service to you and your household members.
7. Payments, subscriptions, taxes and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, taxes, invoicing, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. Refund requests are handled according to our Refund Policy.
Subscriptions renew automatically at the end of each billing period at the then-current price for your plan until cancelled. You can cancel at any time from your account or via paddle.net; cancellation takes effect at the end of the current period unless stated otherwise.
8. Service availability
We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, error-free, or available at any particular time. We may perform maintenance, apply updates, or restrict access when reasonably necessary.
9. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, create a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, you may lose access to Your Content; please export what you need beforehand.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. SOPHIS Ledger is a personal-finance tool and does not provide financial, tax, legal, or investment advice.
11. Limitation of liability
To the extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify and hold us harmless from any claim arising from Your Content, your unlawful use of the Service, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Nebota Ismael Owamba is resident, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory local consumer law provides otherwise.
14. Changes to these Terms
We may update these Terms from time to time. If changes are material we will notify you by email or an in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.
